This Privacy Policy (“Policy”) describes how Proximal AI, Inc. (“Proximal,” “we,” “our,” or “us”) collects, uses, discloses, and protects information in connection with our websites, products, and services (collectively, the “Services”). This Policy forms part of the Agreement between Customer and Proximal, and capitalized terms not defined here have the meanings assigned to them in the Master Development Services Agreement (“MSA”) or applicable Order Form.
By accessing or using the Services, Customer agrees to the terms of this Policy.
1. INFORMATION WE COLLECT
1.1 Information Provided by Customer.
Proximal may collect the following information that Customer or its users provide:
Contact information (e.g., name, email address)
Account and authentication information
Billing and payment information
Customer Materials, to the extent provided in connection with the Services
Communications and correspondence with Proximal (e.g., support inquiries)
1.2 Information Collected Automatically.
Proximal may automatically collect:
Device identifiers and technical information (e.g., browser type, operating system)
Usage data (e.g., pages viewed, interaction data, access times)
Log information (e.g., IP address)
Cookies or similar technologies, where permitted by applicable law
1.3 Information from Third Parties.
Proximal may receive information from:
Service providers supporting the Services
Third-party integrations authorized by Customer
Publicly available sources
Proximal does not purchase personal information from data brokers.
2. USE OF INFORMATION
Proximal uses information solely for the following purposes:
2.1 Service Delivery.
To operate, deliver, maintain, secure, and support the Services, including:
Creating and managing accounts
Processing transactions
Responding to support inquiries
Performing Services described in an Order Form
2.2 Service Improvement.
To monitor, maintain, and enhance the performance, reliability, and quality of the Services.
2.3 Communications.
To send administrative or transactional communications related to the Services.
2.4 Legal Compliance and Protection.
To comply with applicable laws and to detect, prevent, or respond to fraud, security, or technical issues.
2.5 Restrictions on Use of Customer Materials.
Customer Materials will be used solely to perform the Services and for no other purpose unless expressly authorized in writing by Customer.
2.6 No Model Training Without Explicit Consent.
Proximal does not use Customer Materials or customer-provided code, datasets, or content to train, fine-tune, or improve generalized machine learning models, except where:
Customer provides explicit prior written consent, and
Such use is permitted under a mutually executed written agreement.
3. SHARING OF INFORMATION
Proximal does not sell or rent personal information.
Information may be shared only under the following circumstances:
3.1 Service Providers.
With third-party vendors that assist with:
Hosting and infrastructure
Payment processing
Security, monitoring, and logging
Analytics (aggregated or anonymized where reasonably possible)
Customer support
Service providers are bound by confidentiality and may use information only to provide contracted services to Proximal.
3.2 Compliance and Protection.
Proximal may disclose information to the extent required to:
Comply with applicable laws or legal processes
Enforce its rights under the Agreement
Protect the rights, property, or safety of Proximal, Customer, or the public
3.3 Business Transactions.
In connection with a potential or actual merger, acquisition, financing, or sale of Proximal’s assets, information may be disclosed in compliance with applicable law.
3.4 Authorized Disclosures.
Proximal may share information with third parties if Customer expressly authorizes the disclosure in writing.
4. DATA SECURITY
Proximal will implement and maintain industry-standard technical and organizational measures designed to protect information against unauthorized access, loss, misuse, disclosure, or alteration. Customer acknowledges that no method of transmission or storage can be guaranteed to be completely secure.
5. DATA RETENTION
Proximal will retain information:
For as long as necessary to provide the Services;
As required by applicable law; or
As otherwise permitted under the Agreement.
Upon Customer’s request or termination of the Agreement, Proximal will return or delete Customer Materials in accordance with Section 6.4 of the MSA and any applicable Order Form.
6. CUSTOMER RIGHTS
Depending on applicable law, Customer or its users may have certain rights relating to personal information, including:
Access
Correction
Deletion
Objection or restriction of processing
Data portability
Withdrawal of consent (where applicable)
Requests can be submitted to privacy@proximal.so.
Proximal will verify and respond to requests as required by law and the Agreement.
7. INTERNATIONAL DATA TRANSFERS
If information is transferred across national borders, Proximal will implement appropriate safeguards as required by applicable law, such as:
Standard contractual clauses
Adequacy decisions
Other lawful transfer mechanisms
8. CHILDREN’S PRIVACY
The Services are not directed to children under the age of 16. Proximal does not knowingly collect personal information from children. If Proximal becomes aware that such information has been collected, it will be deleted promptly.
9. THIRD-PARTY LINKS
The Services may contain links to third-party websites or services. Proximal is not responsible for the privacy practices of those third parties.
10. CHANGES TO THIS POLICY
Proximal may update this Policy from time to time. The “Last Updated” date indicates the effective date of the most recent revision. Customer’s continued use of the Services following the posting of changes constitutes acceptance of the updated Policy.
